Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Covenix Health ("Covenix," "we," "our," or "us") governing your access to and use of the website located at covenix.health and all related telehealth services, membership programs, and digital tools (collectively, the "Services").

By accessing our website, completing the Performance Gap Quiz, booking a consultation, or enrolling in a membership, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our website or Services. These Terms apply to all visitors, patients, and other users of the Services.

2. Nature of Services, Not Emergency Care

IMPORTANT, MEDICAL EMERGENCY NOTICE

Covenix Health does not provide emergency medical services. If you are experiencing a medical emergency, call 911 or go to your nearest emergency room immediately. Do not use this website or contact Covenix Health for emergency situations.

Covenix Health provides elective, non-emergency telehealth services focused on hormone optimization, metabolic health, and performance medicine. Our Services are intended for adults who are in generally stable health and seeking to optimize their biological performance. Covenix is not a primary care practice, urgent care center (except as a membership benefit for non-emergency acute issues), or emergency medicine provider.

The urgent care benefit included in Standard and Executive memberships is limited to non-emergency acute consultations (e.g., minor illness, medication questions, drug interactions, injury assessment) and does not replace emergency care or primary care services.

3. Eligibility

To use our Services, you must:

  • Be at least 18 years of age
  • Reside in a state where Covenix Health is licensed to provide telehealth services (currently: CA, AZ, NV, TX, FL, MT, MO, IL, CO, TN, WA, OR)
  • Have the legal capacity to enter into a binding agreement
  • Provide accurate and complete information during registration and intake
  • Not be using our Services as a substitute for emergency care

We reserve the right to decline service to any individual at our clinical discretion, including if we determine that our Services are not clinically appropriate for your situation.

4. Telehealth Consent

By booking a consultation with Covenix Health, you consent to receiving medical services via telehealth. You acknowledge and understand that:

  • Telehealth involves the delivery of healthcare services using electronic communications, including video and secure messaging
  • Telehealth has limitations compared to in-person care; your provider may determine that an in-person evaluation is necessary
  • You have the right to withhold or withdraw consent to telehealth at any time without affecting your right to future care
  • The laws of your state of residence govern the telehealth services provided to you
  • Technical failures may occur and could interrupt your consultation

A formal telehealth consent form will be provided through our patient portal (Optimantra) prior to your first consultation.

5. Membership Terms and Billing

Membership Tiers

Covenix Health offers three monthly membership tiers: CovenixCore ($249/month), CovenixStandard ($399/month), and CovenixExecutive ($999/month). Membership benefits are described on the Programs page and are subject to change with 30 days' notice.

Billing and Recurring Charges

Membership fees are billed monthly on a recurring basis beginning on your enrollment date. By enrolling in a membership, you authorize Covenix Health to charge your payment method on file each month until your membership is cancelled. All fees are in US dollars.

Minimum Commitment

All memberships have a 3-month minimum commitment. You may not cancel during the first three months of your membership. This minimum period ensures sufficient time for your protocol to take effect and for follow-up labs to measure your progress objectively. After the initial 3-month period, you may cancel at any time with no penalties or long-term contracts.

Cancellation

To cancel your membership after the 3-month minimum, contact us at [email protected] at least 5 business days before your next billing date. Cancellations received after the billing date will take effect at the end of the current billing cycle. We do not provide prorated refunds for partial months.

Medications Not Included

Membership fees cover physician consultations, protocol design, monitoring, and support. Prescription medications are not included in the membership fee. Medications are prescribed by your physician and filled through accredited compounding pharmacies at separate cost. Approximate medication costs are provided during your consultation.

Lab Costs

For CovenixCore and CovenixStandard members, laboratory testing is billed separately through Ulta Lab Tests and drawn at Quest Diagnostics locations. For CovenixExecutive members, quarterly labs are included in the membership fee.

Performance Evaluation Fee

The initial Performance Evaluation ($397) is a one-time fee that covers your comprehensive lab panel and 60-minute physician consultation. This fee is separate from and in addition to any membership fees. The Lab Review Consultation ($150) is available for transfer patients with existing qualifying labs. These fees are non-refundable once labs have been ordered or the consultation has been completed.

6. Refund Policy

The Performance Evaluation fee ($397) and Lab Review Consultation fee ($150) are non-refundable once the lab requisition has been sent or the consultation has been conducted. If you cancel before labs are ordered and before your consultation is scheduled, a full refund may be issued at our discretion.

Membership fees are non-refundable. If you cancel after a billing date, your membership will remain active through the end of the paid period. We do not provide prorated refunds for partial months.

7. No Doctor-Patient Relationship Until Consultation

Completing the Performance Gap Quiz, submitting an inquiry, or purchasing a Performance Evaluation does not establish a doctor-patient relationship. A doctor-patient relationship is established only upon the completion of your intake forms and your first telehealth consultation with a Covenix Health physician or nurse practitioner.

The information provided on our website, including quiz results and educational content, is for informational purposes only and does not constitute medical advice, diagnosis, or treatment recommendations.

8. Patient Responsibilities

As a patient or prospective patient, you agree to:

  • Provide accurate, complete, and current information about your health history, medications, and symptoms
  • Notify your Covenix provider of any changes in your health status, medications, or circumstances
  • Follow through with lab testing as directed before your consultation
  • Attend scheduled consultations or cancel with reasonable advance notice
  • Use our Services only for lawful purposes and in accordance with these Terms
  • Not share your patient portal credentials with any other person
  • Maintain your own primary care relationship for conditions outside the scope of Covenix's Services

9. Intellectual Property

All content on the Covenix Health website, including text, graphics, logos, images, quiz content, educational materials, and software, is the property of Covenix Health or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on our website without our prior written consent.

10. Disclaimer of Warranties

THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. COVENIX HEALTH DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Medical outcomes are not guaranteed. Individual results vary based on biology, adherence to protocols, lifestyle factors, and other variables outside our control. Testimonials and case studies on our website represent individual experiences and are not a guarantee of results.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COVENIX HEALTH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability to you for any claim arising from or related to these Terms or the Services shall not exceed the amount you paid to Covenix Health in the three (3) months preceding the claim.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Arizona, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Services shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Maricopa County, Arizona, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

You waive any right to participate in a class action lawsuit or class-wide arbitration against Covenix Health.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the effective date at the top of this page and, where appropriate, notify active members by email. Continued use of our Services after changes are posted constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.
